1. Agreement to Terms

By accessing and using the MPG Solutions platform and services, you agree to be bound by these Terms of Use ("Agreement"). If you do not agree to these terms, please do not use our service. MPG Solutions ("Company," "we," "us," or "our") reserves the right to modify these terms at any time. Your continued use of the service constitutes acceptance of any changes.

2. Service Description

MPG Solutions provides an AI-powered virtual receptionist service designed to streamline customer communication and inquiry management for businesses. Our service includes:

• Automated call and message reception and routing
• AI-powered inquiry analysis and categorization
• Customer information management
• Integration with communication platforms (SMS, Telegram, etc.)
• Real-time notifications and alerts
• Data storage and retrieval through integrated platforms (Airtable, Google Sheets)

The service is provided on an "as-is" basis. We strive for high availability but do not guarantee uninterrupted service.

3. Acceptable Use Policy

You agree to use MPG Solutions only for lawful purposes and in ways that do not infringe upon the rights of others or restrict their use and enjoyment. You agree not to:

• Use the service to send spam, malicious code, or harmful content
• Attempt to gain unauthorized access to the platform or its systems
• Reverse-engineer, disassemble, or attempt to derive the source code of our service
• Use the service for illegal activities or to facilitate illegal conduct
• Harass, threaten, or abuse other users or our staff
• Interfere with or disrupt the integrity or performance of our service
• Attempt to bypass any security features or content filtering mechanisms
• Use automated tools (bots, scrapers) without explicit permission
• Violate any applicable laws or regulations
• Transmit defamatory, obscene, or offensive material

We reserve the right to suspend or terminate your access if you violate this policy.

4. User Accounts and Credentials

If you create an account with MPG Solutions, you are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Providing accurate and complete information during registration
• Notifying us immediately of any unauthorized access to your account

We will not be liable for any loss or damage arising from your failure to maintain account security.

5. Payment Terms

If you have entered into a paid service agreement with MPG Solutions:

• Payment terms will be outlined in your service agreement or invoice
• Fees are non-refundable unless otherwise specified in your contract
• We may charge your account for any overages or additional services authorized by you
• Late payment may result in service suspension
• Pricing is subject to change with 30 days' notice

6. Data Ownership and Usage Rights

You retain full ownership of all personal information and data you provide to MPG Solutions. By providing this data, you grant us the right to:

• Store and process your data to deliver the service
• Use anonymized and aggregated data to improve our service
• Share data with authorized third-party service providers as outlined in our Privacy Policy

We do not claim ownership of your data. Upon termination of service, we will provide you with access to your data for a period of 30 days before deletion.

7. Intellectual Property Rights

All content, features, and functionality of the MPG Solutions platform—including but not limited to software, design, text, graphics, and code—are owned by MPG Solutions or its content suppliers and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, or transmit any content without our prior written permission. Unauthorized use of our intellectual property is prohibited.

8. Limitation of Liability

To the maximum extent permitted by law:

• MPG Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service
• Our total liability for any claim shall not exceed the amount you paid for the service in the 12 months preceding the claim
• We are not liable for service interruptions, data loss, or any damages resulting from circumstances beyond our control
• We do not guarantee that our service will be error-free, secure, or uninterrupted

Some jurisdictions do not allow the exclusion of implied warranties, so some of these limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless MPG Solutions, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms of Use
• Your use of the service in an unlawful manner
• Your violation of third-party rights
• Any disputes related to the data you submit through the service

10. Service Termination and Suspension

10.1 Termination by You

You may terminate your service at any time by contacting us in writing. Termination will be effective at the end of your current billing cycle unless otherwise agreed.

10.2 Termination by MPG Solutions

We may suspend or terminate your access immediately, without notice, if you:

• Violate these Terms of Use or our Acceptable Use Policy
• Engage in illegal activity
• Fail to pay fees when due
• Pose a threat to our service or other users

10.3 Effects of Termination

Upon termination, all rights granted to you under this Agreement will cease. You remain liable for any outstanding fees or charges. Your personal data will be handled according to our Privacy Policy.

11. Disclaimer of Warranties

THE MPGSOLUTIONS SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The service will meet your specific requirements
• The service will be uninterrupted or error-free
• Any defects will be corrected
• The service is free from viruses or malicious code

12. Third-Party Services and Integrations

MPG Solutions integrates with third-party services including Airtable, Google Sheets, OpenAI, Twilio, and Telegram. We are not responsible for:

• The availability or performance of these third-party services
• Any data loss or security breaches by third parties
• Changes to third-party terms of service or pricing
• The accuracy or quality of third-party functionality

Your use of third-party services is governed by their respective terms and privacy policies. Please review them carefully.

13. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein. You agree to submit to the exclusive jurisdiction of the courts of Alberta for any disputes arising from this Agreement.

14. Dispute Resolution

Before initiating legal proceedings, we encourage you to attempt to resolve disputes informally by contacting us. If informal resolution fails, either party may pursue remedies through the courts of Alberta.

15. Severability

If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid.

16. Entire Agreement

These Terms of Use, together with our Privacy Policy and any signed service agreements, constitute the entire agreement between you and MPG Solutions regarding your use of the service. Any prior agreements or understandings are superseded.

17. Waiver

Our failure to enforce any provision of these Terms of Use does not constitute a waiver of that provision or the right to enforce it in the future.

18. Changes to Terms

MPG Solutions reserves the right to modify these Terms of Use at any time. Changes will be effective immediately upon posting to the website. Your continued use of the service after modifications constitutes acceptance of the updated terms. We recommend reviewing these terms regularly for updates.
